User Agreement

This User Agreement (hereinafter referred to as the "Agreement") constitutes an offer by P-MART LLC, under the trademark "SELBY" (hereinafter referred to as SELBY), posted on the website www.selby.co, to use SELBY services, in particular the website https://www.selby.co/ (hereinafter referred to as the "Site") and the SELBY mobile application (hereinafter referred to as the "Mobile Application"), also referred to as the "Services," under the terms and conditions set forth in this Agreement.
The Agreement shall enter into force upon the User's consent to its terms in the manner prescribed in Section 1.3 of the Agreement.
1. General Provisions
1.1. The User hereby confirms that from the moment of registration and for the duration of use of the Site/Mobile Application and Services, they are the User until they personally contact the SELBY administration with a request to terminate any relationship with the Services and to change or delete their data.
1.2. Use of the Website, Mobile App, and other SELBY Services is governed by this Agreement, the Privacy Policy (https://selby.co/), the Offer (https://selby.co/), and the terms of use for individual Services. This Agreement may be amended by SELBY without notice, and the new version of the Agreement shall take effect upon its posting online at the address specified in this paragraph, unless otherwise provided in the new version of the Agreement. The current version of the Agreement is always available at https://www.selby.co/.
1.3. By using the Services, including the Website or Mobile App, or their individual functions, or by registering, the User is deemed to have accepted the terms of the Agreement in full, without any reservations or exceptions. If the User disagrees with any of the provisions of the Agreement, the User may not use the Services. If SELBY makes any changes to the Agreement in the manner specified in Section 1.2 of the Agreement with which the User does not agree, the User is obligated to cease using the Services.
1.4. By using the Services, including the Website and Mobile App, the User confirms that they:
(a) have read the terms of this Agreement in full prior to using the Services;
(b) accept all terms of this Agreement in full, without any exceptions or limitations, and undertake to comply with them or cease using the Services.
1.5. If the User does not agree with the terms of this Agreement, they must immediately cease all use of the Services.
2. Terms of Use of the Services, Website, and Mobile App
2.1. SELBY, through the Website, Mobile App, and Services, sells licensed software, provides access to a platform for creating online stores and other websites through the www.selby.co website and related services, and also provides additional services.
2.2. To use the Services or some of their individual features, the User must complete the registration process, which will result in the creation of a unique account for the User.
2.3. To access their Personal Account, the User, having registered on the Website, must undergo individual identification by entering an access code sent by SELBY to the contact phone number or email address specified by the User;
2.4. The User's personal information contained in the User's account is stored and processed by SELBY in accordance with the terms of the Privacy Policy and Personal Data Processing, located at: https://www.selby.co/.
2.5. The User is solely responsible for the security (resistance to guessing) of the means of accessing their account chosen by them, and ensures their confidentiality.
2.6. The User is solely responsible for all actions (and their consequences) within or using the Website, Mobile App, and Services under the User's account, including cases of the User's voluntary transfer of account access data to third parties under any conditions (including under contracts or agreements). All actions within or using the Website, Mobile App, and Services under the User's account are considered to be performed by the User, unless the User has notified SELBY in writing to the email address specified in the "Contacts" section of the Agreement of unauthorized access to the Website, Mobile App, and Services using the User's account and/or any violation (suspected violation) of the confidentiality of their account access means.
2.7. The User is obligated to immediately notify SELBY of any unauthorized access to the Website, Mobile App, and Services using the User's account and/or any breach (suspected breach) of the confidentiality of their account access means. For security purposes, the User is obligated to securely log out of their account at the end of each session. SELBY is not responsible for any loss or corruption of data, or any other consequences of any kind, that may arise due to the User's violation of the provisions of this part of the Agreement.
2.8. The User has the right to delete their account on the Website and all Services at any time or, if such option is available, to terminate it for some of them.
2.9. SELBY has the right to send informational messages to Users. By using the Website, Mobile App, and Services, the User, in accordance with Part 1 of Article 18 of the Federal Law "On Advertising," consents to receive advertising messages. The User has the right to refuse to receive advertising messages by using the relevant functionality of the Service within which or in connection with which the User received advertising messages or by sending a written request refusing to receive advertising messages to the email address specified in the "Contacts" section of the Agreement.
2.10. In order to improve the quality of its services, SELBY, through the Website/Mobile App and other Services, may collect opinions and feedback from Users on various issues by sending an informational message during the User's next visit to the Website or use of the Mobile App. The collected opinions and feedback may be used to generate statistical data for use by SELBY. Reviews left by the User using their account may also be published by SELBY, either with or without the User's name (login).
2.11. SELBY assumes no liability for delays, failures, incorrect or untimely delivery, deletion, or failure to store any notifications. SELBY reserves the right to resend any notification if the User does not receive it.
3. User Obligations When Using the Services
3.1. The User undertakes not to use the Website, Mobile App, or other SELBY Services for the following purposes:
3.1.1. Uploading content that is illegal, violates any rights of third parties, promotes violence, cruelty, hatred, and/or discrimination based on race, nationality, gender, religion, or social status, or contains false information and/or insults against specific individuals, organizations, or government agencies;
3.1.2. Inciting others to commit illegal acts, or assisting individuals whose actions are aimed at violating restrictions and prohibitions in force in the Russian Federation;
3.1.3. Violating the rights of minors and/or causing them harm in any way;
3.1.4. Infringing on the rights of minors;
3.1.5. Impersonating another person or representative of an organization and/or community without sufficient authorization, including impersonating SELBY employees;
3.1.6. Misleading information regarding the properties and characteristics of any products in the catalog; inappropriate product comparisons, or the formation of a negative attitude toward or condemnation of individuals who (or do not) use certain products;
3.1.7. Uploading content that is prohibited from publication under current Russian Federation law or in other cases;
3.1.8. Uploading content that directly violates or otherwise affects the rights of third parties to patents, trademarks, trade secrets, trade names, copyrights, and related rights, as well as other intellectual property rights.
3.1.9. Uploading unauthorized advertising information and/or spam;
3.1.10. Disrupting the normal operation of the Website, Mobile Application, and Services;
3.1.11. Violations of Russian or international law.
3.2. The User agrees not to use obscene or offensive language, images, comparisons, or expressions when using the Website, Mobile App, or Services, including those related to gender, race, nationality, profession, social category, age, or language of individuals or citizens, as well as those related to organizations, government agencies, official state symbols (flags, coats of arms, anthems), religious symbols, or cultural heritage sites (historical and cultural monuments).
3.3. The User acknowledges and agrees that:
(a) SELBY is not obligated to review any content posted and/or distributed by the User through the Website, Mobile App, and Services;
(b) SELBY reserves the right (but not the obligation) to, at its sole discretion, refuse the User's permission to post and/or distribute content or to remove any content accessible through the Website, Mobile App, and Services.
3.4. The User acknowledges and agrees that they must independently assess all risks associated with the use of content, including assessing the reliability, completeness, or usefulness of such content.
4. Personal Data
4.1. By using the Website, Mobile App, or their individual services and functions, or by registering, the User, acting voluntarily, of their own free will, and in their own interests, provides SELBY with Personal Data.
4.2. SELBY processes Users' Personal Data for the purpose of providing SELBY services, in particular:
(a) Creating a User's personal account;
(b) Creating a partner personal account;
(c) Providing consultations and technical support;
(d) Sending notifications;
(e) Registering applications for services, tariffs, and additional services;
(e) Processing requests to SELBY;
(g) Registering for events and webinars;
(h) Activating an online store account and/or registering a domain;
(i) Organizing the provision of additional services by SELBY partners, including the delivery of orders to customers;
(j) Concluding a license agreement/partnership agreement, or other agreements involving the use of the Website;
(k) Improving the operation of the Website and Mobile App, enhancing services, and identifying user preferences.
(m) Pre-registration and/or integration between the User's personal account on the SELBY Platform and external services integrated with the SELBY Platform via API.
4.3. SELBY may process the following User's Personal Data:
(a) User IDs;
(b) Last name, first name, and patronymic;
(c) Telephone number;
(d) Email address;
(e) Taxpayer Identification Number (TIN), registered address, date of birth, citizenship, identity document details, bank account number; personal account number, and correspondence address (optional);
(e) technical and analytical data, including IP address, browser and device information, cookies, website actions (clicks, events), referral sources (referrers, UTM tags), geolocation (country, city), number of sessions, date/time of first and last visit and registration);
(g) consent to the documents;
(h) communication data: correspondence between the User and SELBY employees (support).
4.4. SELBY performs mixed processing of Personal Data, including the following actions: collection, recording, systematization, accumulation, storage, clarification (updating, modification), transfer (provision, access), retrieval, use, blocking, and deletion.
4.5. Personal Data is stored:
(a) in cloud services: Yandex Cloud (OOO Yandex.Cloud, TIN: 7704458262, 119021, Moscow, Leo Tolstoy St., Building 16, Office 528);
(b) third-party SaaS services, in particular Mango Office, Bitrix24, Mindbox, SMS Traffic, Wazzup, and Unisender Go.
4.6. For the purposes specified in Section 4.2 of the Agreement, SELBY may transfer Personal Data to the following partners, subject to the partners' confidentiality and security requirements:
(a) partners with whom events and webinars for Users may be held, as well as platforms used by SELBY and its partners for hosting events and webinars;
(b) partners providing SELBY with services necessary for operational activities, including customer support, technical support, service development, and accounting;
(c) Yandex.Direct and Yandex.Audience (OOO Yandex), and VK Advertising (OOO VK) services for the purpose of determining User preferences;
(d) Yandex.Forms (OOO Yandex) if the User provides data by filling out survey forms.
4.7. By registering in their personal account, the User agrees to the terms of the Offer https://www.selby.co/ (hereinafter referred to as the Offer), which includes provisions regarding the transfer of the User's Personal Data to third parties:
(a) when setting up data integrations with external service providers (Section 13.8 of the Offer);
(b) when granting access to Personal Data to external service providers (Section 13.9 of the Offer).
4.8. The User's Personal Data will be processed for the entire term of the Agreement. The User has the right to request that SELBY cease processing all or part of their Personal Data at any time.
If compliance with the User's request makes it impossible to continue providing services, SELBY may terminate access to the services, in particular by deleting the User's personal account.
SELBY has the right to continue processing the User's Personal Data even after receiving a request to terminate, if expressly provided for by Russian Federation law.
4.9. By providing Personal Data to SELBY, the User guarantees that the data they provide is accurate and, if the data belongs to third parties, that they have the necessary legal basis to process and transfer this data to SELBY.
4.10. The User may contact SELBY with questions regarding the processing of their Personal Data in the following ways:
(a) submit a support ticket to SELBY;

4.11. Detailed terms and conditions for processing Personal Data are set out in the Privacy and Personal Data Processing Policy, located on the SELBY website at https://www.selby.co/.
5. Use of Cookies
5.1. By continuing to use the Site, the User agrees to the processing of cookies.
5.2. Cookies are small pieces of data that the Site requests from the browser used on the User's computer or mobile device. Cookies contain information about the User's actions on the Site and may also contain information about the User's equipment, the date and time of the session. Cookies are stored locally on the User's computer or mobile device.
5.3. SELBY processes the received data, including using metric programs and analytics systems, such as Yandex.Metrica (OOO Yandex) and VK Advertising Pixel (OOO VK).
5.4. SELBY uses the following types of cookies:
(a) Session Cookies. They exist only in temporary memory while the User is on the Website page. Session cookies are typically deleted after the User closes the Website window. Session cookies allow the User to remember information about the User's choices on the previous page, avoiding the need to re-enter them.
(b) Persistent cookies. These are cookies that are stored on the User's computer or mobile device and are not deleted when the browser is closed. Persistent cookies can save user settings for a specific Website, allowing these preferences to be retained in future browsing sessions. These cookies identify the User as a unique visitor to the Website and, when returning to the Website, help recall information about the User and previously completed actions.
(c) Analytical/Marketing cookies. These cookies include information about how the User uses the Website, such as which pages they visit and which links they click. SELBY uses these cookies primarily to improve the functionality of the Website and the user experience. Sometimes, these cookies also allow SELBY to identify the User's preferences and provide useful, targeted information on products, services, and features that may be of interest to the User.
(d) Essential Cookies. This is the minimum set of cookies required to ensure the proper and uninterrupted functioning of the website.
5.5. Cookies are installed in the browser on the User's device – in most cases, this occurs automatically. The User can refuse the storage and use of cookies on their device or delete already stored cookies in their browser settings.

5.7. If the User refuses to process cookies, the Site will use only mandatory cookies.
6. Liability
6.1. The User is solely responsible to third parties for their actions related to the use of the Website, Mobile App, and Services, including if such actions result in a violation of the rights and legitimate interests of third parties, as well as for compliance with the law when using the Website, Mobile App, and Services.
6.2. The Website, Mobile App, and Services may contain links to other resources. The User acknowledges and agrees that SELBY bears no liability for the availability of these resources or their content, or for any consequences associated with the use of the content of these resources.
6.3. SELBY does not guarantee that the software of the Website, Mobile App, and Services is error-free or will function uninterrupted.
6.4. The User also agrees that SELBY bears no liability for the User's Personal Data, which the User provides to third-party resources and/or other third parties when accessing them from the Website, Mobile App, or Services.
6.5. The User confirms that SELBY is not responsible for any loss and/or damage to data that may occur due to the User's violation of the provisions of this Agreement, as well as improper access to and/or use of the personalized services of the Website and Mobile App.
6.6. Responsibility for the actions of minors on the Website, Mobile App, and Services lies with the minors' legal representatives.
6.7. The User agrees that SELBY shall bear no liability in the event of the User's failure to fulfill and/or improper fulfillment of their obligations in accordance with Section 3 of the Agreement, due to the provision of inaccurate and/or invalid data by the User, or the User's failure to comply with the terms of this Agreement.
6.8. SELBY shall not be liable for any damages whatsoever arising from the User's use of the Website, Mobile App, or individual parts/functions of the services.
6.9. Under any circumstances, SELBY's liability in accordance with Article Article 15 of the Civil Code of the Russian Federation limits the penalty to 10,000 (ten thousand) Russian rubles and is imposed on the party if their fault is proven.
7. Final Provisions
7.1. The Agreement, appendices to the Agreement, and amendments thereto shall enter into force upon their publication at https://www.selby.co/.
7.2. The applicable law is the law of the Russian Federation.
